Course Outline: A four course survey of the basic building block of private law, with an emphasis on how lawyers structure transactions for clients. Besides the basic issues of contract formation (offer, acceptance, bargain, consideration, reliance), formalities, interpretation, conditions and remedies, including restitution, we will read law review articles on both practice and theory. A small amount of time will be devoted to contract drafting and planning.
