2013 This book is a comparative study of shareholder power in common law systems, contrasting the British/Australian/Canadian model of weak boards and strong shareholders acting as stewards with the US model of strong boards and weak shareholders acting as speculators. The author attempts to explain the origins of these differing systems, and to predict how the factors creating these differences would influence the effectiveness of any attempts by common law nations to respond to the current financial crisis by reforming corporate governance. |

2013 The thesis of this book is that the international commercial arbitration system is developing its own contract law doctrines and applying those doctrines in place of those of the various national court systems. The author first argues that the professional arbitration system is developing its own legal culture, and then compares the disposition of cases by arbiters and judges in an effort to demonstrate that there are differences in the approaches of arbiters and judges take in applying the same substantive laws. |
